UniCredit Bank S.A. entered its second synthetic securitization transaction

 

·       For the first time within the UniCredit Group, the transaction involved a portfolio of small and medium sized corporate exposures granted in a local currency other than EUR

·       The transaction was completed with the support of The Fidelis Partnership

 

 

Milan - Bucharest 3 September 2026 - UniCredit Bank S.A., a member of UniCredit Group, has executed its second synthetic securitisation deal, further reinforcing UniCredit's position as one of Europe's most active and innovative SRT players.

 

The underlying securitised portfolio of ca. 3.5 billion Romanian Lei is a granular pool of small and medium-sized enterprise (SME) and corporate loans originated by UniCredit Bank S.A. The credit protection instrument is also denominated in Romanian Lei.  

 

The transaction has been structured in such a way as to satisfy the requirements for significant risk transfer (SRT) under the European Union's Capital Requirements Regulation. 

 

The closing of this second deal with the support of The Fidelis Partnership enables UniCredit Bank S.A. to enhance its capital resilience by achieving risk-weighted asset relief, thus further expanding its lending capacity to the real economy.  

 

Stefano Chiarlone, Head of Balance Sheet Management at UniCredit, stated: "The transaction represents another important step in the Group capital efficiency strategy, delivering optimization at both Bank and Group level, and it is distinguished for the innovative local currency features. With this transaction, we have further reinforced our SRT framework in Eastern Europe confirming the broad geographical coverage of our SRT activity. Georgia Salagean, CFO at UniCredit Bank, declared "This second synthetic securitization transaction of UniCredit Bank S.A. is the first deal for UniCredit Group in local currency other than EUR and underlies the Group commitment to support the real economy in its subsidiaries, including Romania, and the lending in local currency. The implementation was a challenge for us locally and with this occasion I want to congratulate both the local structuring team (Finance, Risk Management, IT and Operations) and the Group teams which offered us support throughout the entire process".

This deal is particularly notable as the first synthetic securitisation within the UniCredit Group involving a portfolio of loans denominated in a currency other than euro. We were able to apply our extensive experience in corporate loan SRT transactions to support UniCredit successfully complete the transaction".

 

The transaction is part of the Group SRT program and confirms UniCredit's strategy to increasingly use SRT as an effective tool to enhance capital efficiency, with the ambition to expand it to new asset classes and new legal entities in the Group in Central and Eastern Europe. 

 

UniCredit has been a regular issuer of SRT transactions, successfully executing a considerable number of deals in Italy, Germany, Austria and Eastern Europe across several asset classes and in different formats.
