Conclusion of the Second Buy-Back Programme 2021. Update on the execution of the share buy-back programme during the period from 21 to 28 February 2022. Definition of the final amount of the 2022 dividend per share referred to the year 2021

UniCredit S.p.A. (the "Company" or "UniCredit") announces that on 28 February 2022 the share buy-back programme communicated to the market on 9 December 2021 and initiated on 13 December 2021, in execution of the resolution of the shareholders' meeting held on 15 April 2021 which approved the share buy-back programme for a maximum amount of Euro 651,573,111.00 and for a number of UniCredit shares not exceeding 110,000,000 (the "Second Buy-Back Programme 2021"), has been completed.


With respect to the purchases made during the period from 21 to 28 February 2022, UniCredit - on the basis of the information received from J.P. Morgan SE as intermediary in charge of executing, in full independence (so-called "riskless principal" or "matched principal"), the Second Buy-Back Programme 2021 - informs, pursuant to art. 2, paragraph 3, of the Delegated Regulation (EU) 2016/1052, that it has carried out the daily purchases of UniCredit ordinary shares (ISIN IT0005239360), indicated, in aggregate details, in the chart below.

Under the Second Buy-Back Programme 2021, UniCredit purchased in aggregate no. 48,536,221.00  shares, equal to 2.18% of the share capital, for a total consideration of Euro 651,573,103.92.


In execution of the resolution passed by the shareholders' meeting held on 15 April 2021, the Company expects to proceed as soon as possible, and in any case within the term established by the aforementioned resolution, with the cancellation of all the shares purchased in execution of the Second Buy-Back Programme 2021. The cancellation will be communicated to the market in accordance with applicable laws and regulations.


Following the completion of the Second Buy-Back Program 2021, the final amount of the dividend per share ("DPS") referred to the financial year 2021 and which will be paid during the current financial year is equal to Euro 0.5380 for each share entitled to the payment of the cash dividend. It is recalled that the total amount of dividends that the Company proposes to the Shareholders' Meeting to distribute is equal to Euro 1,170,046,000.00. The aforementioned DPS updates the preliminary amount of Euro 0.5352 anticipated to the market on 15 February 2022.
