The Rules and Regulations of UniCredit ’s Board of Directors – adopted in accordance with the provision in paragraph 2, clause 23 of its Articles of Association – govern the operating procedures and the competences of the Board of Directors pursuant to the applicable regulatory and supervisory legal framework as well as the rules of the Articles of Association and the principles and regulations set forth in the Corporate Governance Code issued by Borsa Italiana.
