MERGER PLAN OF UNICREDIT REAL ESTATE AND MEDIOINVEST INTO UNICREDIT

UniCredit Board of Directors approved in its meeting of March 22, 2011 the merger plan of UniCredit Real Estate S.c.p.A. and Medioinvest s.r.l. into UniCredit S.p.A..

Bank of Italy gave its authorization on the merger plan on 28 June 2011.
 

The merger has been approved by shareholders meetings of the incorporated companies, UniCredit Real Estate and Medioinvest, held on July 27, 2011 and by resolution of UniCredit Board of Directors taken on August 3, 2011 pursuant to section 2505 of the Italian Civil Code and section 23 of UniCredit Articles of Association.

The merger should become effective as of November 1, 2011.
